Agreement to Terms

By accessing and using the services of Promptful Consulting, LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services Provided

Promptful Consulting provides:

• AI consulting and strategy development
• Workflow automation audits and implementation
• Custom AI agent development
• Business process optimization services
• Training and ongoing support

Specific service details, deliverables, and timelines will be outlined in individual project agreements or statements of work.

Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information about your business needs
• Grant timely access to necessary systems, data, and stakeholders
• Review and approve deliverables within agreed timeframes
• Make timely payments according to the agreed schedule
• Comply with all applicable laws and regulations

Payment Terms

Payment terms vary by service type:

• Consulting Sessions: Payment due at time of booking
• Audits: Payment due before or immediately after session
• Custom Projects: 50% deposit required to begin work, remainder due upon completion
• Monthly Retainers: Invoiced monthly in advance

Late payments may result in service suspension and late fees of 1.5% per month on outstanding balances.

Intellectual Property

Client Owns Deliverables: Upon full payment, you own all custom deliverables created specifically for your business (e.g., automation workflows, custom AI agents, documentation).

We Retain Rights To: Our methodologies, frameworks, tools, templates, and general knowledge developed through our work.

Third-Party Tools: Some services use third-party platforms (Zapier, OpenAI, etc.). You are responsible for maintaining licenses and compliance with their terms.

Confidentiality

We treat all client information as confidential and will not disclose it to third parties without your permission, except as required by law. Both parties agree to maintain confidentiality of proprietary information shared during the engagement.

Warranties and Disclaimers

We Warrant: Services will be performed with reasonable skill and care consistent with industry standards.

Disclaimer: We do not guarantee specific business outcomes, ROI, or results. Results depend on factors including your implementation, market conditions, and ongoing management. Services are provided "as is" without warranty of any kind beyond what's stated above.

Limitation of Liability

Our total liability for any claims arising from our services shall not exceed the total fees paid by you for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.

Termination

Either party may terminate services with written notice:

• For Convenience: 30 days' written notice
• For Cause: Immediate termination for material breach

Upon termination, you remain responsible for payment of all services rendered through the termination date.

Indemnification

You agree to indemnify and hold harmless Promptful Consulting from any claims arising from your use of our services, your violation of these terms, or your violation of any third-party rights.

Governing Law

These terms are governed by the laws of the State of Alabama, United States. Any disputes will be resolved in the courts of Alabama.

Changes to Terms

We reserve the right to modify these terms at any time. Updated terms will be posted on our website with a new "Last Updated" date. Continued use of our services constitutes acceptance of modified terms.
